Terms of Service

1. Acceptance of these Terms
These Terms of Service (the "Terms") form a binding agreement between you ("you", "your", or the "Operator") and TxNod("TxNod", "we", "us", or "our"), a service operated from Dubai, United Arab Emirates. By redeeming an invite, signing in to the dashboard, calling the API, or otherwise using the service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the service.
These Terms incorporate the Privacy Policy by reference. If you accept on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. About TxNod
TxNod is a non-custodial, invite-only crypto payment infrastructure for software developers and operators of online services. The service watches public blockchains for payments to addresses derived from extended public keys (xpubs / stake addresses) you register, attributes those payments to invoices you issue, and dispatches signed webhook events to your project endpoints.
TxNod is not a wallet, an exchange, a money-transmitter, or a custodian.We do not hold, transmit, exchange, or convert customer funds. Funds settle directly from the end customer's wallet to addresses you control on the public blockchain. TxNod never has custody of, control over, or the ability to move your funds or your customers' funds.
3. Eligibility and sanctions
To use TxNod you must be at least eighteen (18) years old, have full legal capacity to enter into a binding contract, and not be prohibited from using the service under the laws of the United Arab Emirates or any other jurisdiction that applies to you.
You may not use TxNod if you, any beneficial owner of your account, or any business or person on whose behalf you use the service is:
- located in, ordinarily resident in, or organised under the laws of a jurisdiction that is subject to comprehensive economic sanctions imposed by the United Nations, the United States Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or the United Arab Emirates;
- identified on a consolidated sanctions, terrorism-financing, or denied-persons list maintained by any of the authorities named above;
- otherwise prohibited from receiving services of this kind under applicable export-control or sanctions law.
You represent and warrant, on a continuing basis, that none of the above applies. You must immediately notify us at support@txnod.com if your status changes.
4. Accounts
TxNod is invite-only. Accounts cannot be self-created. Once invited, you must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your sign-in credentials, Personal Access Tokens, project HMAC API secrets, OAuth client credentials, and any other authentication material we issue. You are responsible for all activity that occurs under your account.
Notify us promptly at support@txnod.com if you suspect any unauthorised access to your account or compromise of your credentials.
5. Acceptable use
You agree not to, and not to allow any third party to:
- use the service for any unlawful, fraudulent, or deceptive purpose, or in furtherance of any criminal activity;
- use the service to launder the proceeds of crime, finance terrorism, evade taxes, evade sanctions, or facilitate any of the foregoing;
- process payments for goods or services that are illegal in your or your customer's jurisdiction, including without limitation child sexual abuse material, non-consensual intimate imagery, weapons trafficking, narcotics where prohibited, or human trafficking;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- interfere with, disrupt, probe, scan, or attack the service or the networks connected to it, or attempt to circumvent rate limits, authentication, signature verification, or scope checks;
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the proprietary parts of the service, except to the extent that this restriction is prohibited by mandatory law;
- resell, sublicense, white-label, or otherwise commercially redistribute the service to third parties without our prior written consent;
- use the service to send unsolicited commercial messages, to harvest contact information, or to facilitate spam.
We may, at our sole discretion, refuse to process a transaction, suspend an account, or terminate access where we have a reasonable basis to believe that one of these prohibitions has been or is likely to be violated.
6. Non-custodial nature of the service
You alone control your wallets and your funds. TxNod observes the public blockchain and provides infrastructure for invoice attribution and webhook delivery. We do not, at any time:
- hold, receive, transmit, or move customer funds;
- store or have access to your private keys, seed phrases, mnemonics, or any other signing material;
- act as a payment processor, payment facilitator, or money-transmitter for funds;
- guarantee that any specific payment will arrive, settle, confirm, or be valued at any specific amount.
Because the service is non-custodial, transactions occur directly between wallets on the public blockchain. Blockchain transactions are generally irreversible. We cannot reverse, refund, cancel, charge back, or recover a transaction once it has been broadcast or confirmed. Refunds and disputes are exclusively a matter between you and your end customer.
7. Operator responsibilities
You are solely responsible for:
- determining whether operating a crypto-payment business is lawful in each jurisdiction in which you provide services to customers, and obtaining any licences, registrations, or authorisations required of you in those jurisdictions;
- complying with all applicable laws relating to consumer protection, advertising, taxation, anti-money-laundering, counter-terrorism financing, sanctions screening, data protection, and the regulation of virtual assets;
- collecting, reporting, and remitting any taxes, duties, or fees that apply to the underlying transactions;
- handling refund, dispute, and chargeback policies with your end customers, and disclosing those policies to them;
- safeguarding your hardware-wallet seed phrase and the device on which it is stored — loss of either may permanently lock you out of funds, and TxNod cannot help recover them;
- verifying webhook signatures and treating webhook events as authoritative only after signature verification.
TxNod does not provide legal, tax, financial, regulatory, or investment advice. Nothing on the website, in the dashboard, or in our documentation should be construed as such advice.
8. Risk disclosure
Using cryptocurrencies and blockchain-based payment infrastructure carries material risks. By using TxNod you acknowledge and accept the following:
- Irreversibility. Blockchain transactions are typically irreversible. Once broadcast or confirmed, a transaction cannot be reversed by us, by you, or by your customer.
- Volatility. Crypto-asset prices can move sharply. The fiat value of a payment received in crypto may differ materially from the fiat value at the moment the invoice was created or quoted.
- Network conditions. Blockchain networks can experience congestion, fee spikes, slow finality, hard forks, chain re-organisations, and outright network failures, any of which can delay or alter the confirmation status of a transaction.
- Re-organisations.Some confirmations may later be reversed if the underlying chain re-organises before TxNod's finalisation threshold is reached. We surface re-organisation events explicitly.
- Provider dependence. The service depends on third-party blockchain RPC and indexing providers. Outages or errors at those providers can prevent or delay detection of payments and dispatch of webhooks.
- Smart-contract risk. Tokens implemented as smart contracts (for example, ERC-20, TRC-20, BEP-20, jetton tokens) carry the residual risk of bugs or upgrade events affecting how balances and transfers behave.
- Regulatory uncertainty. Laws governing virtual assets are evolving in many jurisdictions. New rules may affect your ability to use the service, the legal characterisation of your transactions, or both.
- Operational risk on your side. Loss, theft, or compromise of your hardware wallet, seed phrase, or signing device may result in permanent loss of funds. TxNod cannot help you recover from such loss.
9. Third-party services
The service relies on third-party providers for email delivery, identity federation, blockchain RPC and indexing, hardware-wallet integration, and hosting. We choose providers with reasonable care but we do not control them and are not responsible for their acts, omissions, availability, or performance. Your relationship with any third-party service you connect to TxNod (for example, a hardware-wallet vendor or a wallet that supports TON Connect) is governed by that third party's terms.
10. Fees
The fees, billing cycle, and payment methods that apply to your account are presented in the dashboard at the time you select a plan or are otherwise communicated to you in writing. Fees are non-refundable except where required by mandatory law. We may change our fees with reasonable advance notice; changes take effect at the start of the next billing cycle following the notice. Network fees levied by the underlying blockchain (for example, gas or miner fees) are not collected by us and are not part of TxNod's fees.
11. Intellectual property
The TxNod service, the dashboard, the documentation, the marketing website, the TxNod name and brand, and the original code that we publish from time to time under an open-source licence are protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for the duration of your subscription and in accordance with these Terms. Any code released by us under an open-source licence is governed by the licence accompanying that code, which prevails over this section to the extent of any conflict.
You may not use the TxNod name, logo, or other trademarks except to truthfully describe an integration with TxNod, and only in a manner that does not suggest endorsement, partnership, or affiliation that does not exist.
12. Disclaimers
The service is provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the service will be uninterrupted, error-free, secure, or that defects will be corrected.
Without limiting the foregoing, we do not warrant that any specific transaction will be detected, attributed, confirmed, or finalised within any particular time, or at all; that the value of any crypto asset will be stable; or that any third-party provider on which the service depends will perform reliably.
13. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall TxNod be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost business opportunity, loss of data, loss of goodwill, business interruption, or the cost of substitute services, arising out of or in connection with these Terms or your use of or inability to use the service, whether based on contract, tort, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or in connection with these Terms or the service in any twelve-month period shall not exceed the total fees actually paid by you to us in the twelve months immediately preceding the event giving rise to the claim. This limitation applies in the aggregate to all claims of any kind.
Some jurisdictions do not permit the exclusion or limitation of certain damages or liabilities. To the extent that mandatory law in your jurisdiction prohibits any of the above, that exclusion or limitation does not apply to you, and our liability is limited to the smallest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless TxNod, its affiliates, and their respective officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the service; (b) your breach of these Terms; (c) your violation of any law or regulation; (d) your violation of any third-party right, including any intellectual-property, privacy, or contractual right; or (e) any dispute between you and an end customer or any other third party in connection with transactions processed through the service.
15. Suspension and termination
We may suspend or terminate your access to the service immediately, with or without notice, if we have a reasonable basis to believe that you have breached these Terms, that continued provision of the service would expose us or any third party to material legal, regulatory, security, or reputational risk, or where required by law. We will, where practical and lawful, give you an opportunity to cure a breach before termination.
You may stop using the service at any time and may close your account by writing to support@txnod.com. Sections of these Terms that by their nature should survive termination (including without limitation Sections 6, 7, 8, 11, 12, 13, 14, 18, 19, and 20) survive termination.
16. Changes to these Terms
We may revise these Terms from time to time. When we make material changes, we will revise the "Last updated" date at the top of this page and, where appropriate, notify operators by email or through the dashboard. Unless we state otherwise, the revised Terms take effect on posting. Your continued use of the service after the revised Terms take effect constitutes acceptance. If you do not agree to the revised Terms, you must stop using the service.
17. Force majeure
Neither party is liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, government action, sanctions, public-health emergencies, internet or telecommunications failures, blockchain network outages, hard forks, chain re-organisations of unusual depth, denial-of-service attacks, and outages or defects at upstream service providers.
18. Governing law and dispute resolution
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law principles. The courts of the Emirate of Dubai have exclusive jurisdiction over any such dispute or claim, and you and we irrevocably submit to that jurisdiction.
Nothing in this section limits any right we or you may have under mandatory consumer-protection law to bring proceedings in another jurisdiction where that right cannot lawfully be excluded.
19. Miscellaneous
- Entire agreement. These Terms together with the Privacy Policy and any plan-specific terms presented to you in the dashboard form the entire agreement between you and us regarding the service and supersede any prior agreement or understanding on the same subject.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets without your consent.
- No agency. Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency between you and us.
- Notices. Notices to you are given by email to the address associated with your account or through the dashboard. Notices to us must be sent to support@txnod.com.
- Language. The English version of these Terms is authoritative. Any translation we provide is for convenience only.
